Business terms
Last updated: 14 October 2026
1. Scope and parties
1.1 These general terms and conditions (the “terms”) set out the rights and obligations between its niio s. r. o. (“niio”) and a client in the design and development of websites, applications, software and digital products and the services that go with them.
1.2 The contractor is its niio s. r. o., identified in full at the end of this page.
1.3 The client is a natural person (a consumer) or a business or legal entity that enters into a contract with niio.
1.4 The website https://niio.sk presents the studio and its services. It is not an online shop, and no contract can be concluded on it.
1.5 A written contract or a confirmed offer may depart from these terms; where it does, it takes precedence.
2. How a contract is made
2.1 A contract starts from the client’s enquiry, through the contact form, by email or by phone, and niio’s offer.
2.2 The offer describes the scope of the work, the price, the schedule and the payments, and is valid for 30 days from sending unless it says otherwise.
2.3 The contract is concluded when the client confirms the offer in writing, email included, and niio accepts the confirmation, or when a separate contract is signed.
2.4 Work outside the confirmed offer, such as a change of scope or a new feature, is priced by niio in a separate offer and starts only once that offer is confirmed.
3. Price and payment
3.1 Prices in the offer are final. niio is not a VAT payer.
3.2 Before work starts, niio issues an advance invoice for 30% of the price; the rest is invoiced on handover. Longer projects may be paid by the milestones set out in the offer.
3.3 Invoices are due within 14 days of issue, by bank transfer to niio’s account.
3.4 If the client is late with a payment, niio may pause the work until it is paid, and the deadlines move by the length of the delay. niio is also entitled to default interest under the law.
4. Cooperation and deadlines
4.1 Deadlines are set in the offer. They run from the day the advance reaches niio’s account and the materials needed to start, such as texts, images and access, are delivered.
4.2 The client delivers materials and feedback within 5 working days of being asked. A delay on the client’s side moves the deadlines by the same time.
4.3 The client is responsible for having the right to use the materials it delivers and for their not infringing anyone else’s rights.
5. Handover and acceptance
5.1 niio hands the work over, for example by making it available on a server or by handing over the source code or access, and asks the client to accept it.
5.2 The client has 5 working days to check the work and report defects. If none are reported in that time, or the client starts using the work in live operation, the work is accepted.
5.3 Minor defects that do not prevent use are no reason to refuse acceptance; niio fixes them under the warranty.
6. Rights to the work
6.1 Once the price is paid in full, the client receives an exclusive licence, unlimited in time and territory, to use the delivered work in every way, including the right to modify it and to grant sublicences, unless the contract says otherwise. Until then the client may use the work only to check it.
6.2 niio keeps the rights to the general tools, libraries and methods it also uses in other projects; the client may use them within the work without limitation. Open-source components are governed by their own licences.
6.3 niio may show the work in its portfolio and on its channels unless the parties agree otherwise.
7. Warranty and defects
7.1 niio fixes free of charge any defect the work has on handover or that appears within 3 months of acceptance. A consumer has the 24-month warranty the law provides.
7.2 The warranty does not cover defects caused by changes the client or a third party makes, by changes to third-party services such as hosting, payment gateways, APIs, browsers or operating systems, or new requirements.
7.3 Defects are reported in writing to hey@niio.sk with a description, ideally with a screenshot. niio confirms receipt and deals with the defect without undue delay, within 30 days at the latest.
8. Liability
8.1 As far as the law allows, niio’s liability for damage towards a business is limited to the price of the work under the contract and does not cover lost profit or indirect damage. The limit does not apply to damage caused intentionally or by gross negligence.
8.2 niio is not liable for content the client puts into the work, nor for outages of or changes to third-party services that niio does not operate.
9. Confidentiality
9.1 Both parties keep confidential the other party’s confidential information they learn while working together and use it only to perform the contract. The obligation survives the end of the contract.
10. Ending the contract
10.1 The client may end the contract at any time in writing and pays for the work done until then; the advance already paid counts towards it.
10.2 niio may withdraw from the contract if the client is more than 30 days late with a payment or with cooperation, even after a written reminder.
11. Consumers
11.1 A consumer may withdraw from a contract for services without giving a reason within 14 days of concluding it, under Act No. 108/2024 Coll. on consumer protection. If the consumer expressly asks niio to start work before that period ends and then withdraws, the consumer pays for the work done until withdrawal. Once the service has been fully provided, the right of withdrawal ends.
11.2 A consumer who is not satisfied with how a complaint was handled may ask niio for redress. If niio rejects the request or does not answer within 30 days, the consumer may file for alternative dispute resolution with an ADR body, such as the Slovak Trade Inspection (www.soi.sk).
12. Hosting and maintenance
12.1 Hosting, operation and maintenance after handover are not part of the work unless the offer expressly includes them. They are agreed in a separate offer or contract.
13. Final provisions
13.1 Personal data is processed under the privacy policy published on this site.
13.2 Matters these terms do not cover are governed by the Slovak Commercial Code between businesses, by the Civil Code and the consumer protection act where the client is a consumer, and by other laws of the Slovak Republic. Disputes are decided by the courts of the Slovak Republic.
13.3 niio may change these terms. A contract is governed by the version in force on the day it was concluded.
13.4 These terms take effect on the day they are published.
